Agreement to Terms
By accessing or using the Escape Room PPC website (escaperoomppc.com) and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our website or use our services.
Services Description
Escape Room PPC provides digital marketing services, including but not limited to Google Ads management, Meta Ads management, Microsoft Ads management, SEO, conversion tracking, and marketing consulting for escape rooms and entertainment venues.
Campaign Creation and Optimization
- Campaign creation, structure, and ongoing optimization across all managed advertising channels is included as a core service deliverable.
Service Agreement
Month-to-Month Terms
All services are provided on a month-to-month basis. There are no long-term contracts or commitments. Either party may terminate services with 30 days written notice.
Scope of Work
The specific scope of work, deliverables, pricing, and timelines will be outlined in a separate Service Agreement or Statement of Work for each client. This document will detail campaign types, budget allocations, reporting frequency, and success metrics.
Campaign Monitoring as a Core Service
Every account we manage is under continuous watch. Across Google Ads, Meta Ads, Microsoft Ads, and any additional platforms in scope, our team reviews performance daily — tracking spend pacing, conversion trends, audience signals, and platform health in real time. This isn't passive oversight; it's structured analysis: we're looking for emerging opportunities, catching anomalies before they compound, verifying that conversion tracking is firing correctly, and stress-testing attribution across channels.
All monitoring activity is documented and reflected in monthly reporting. Whether or not account changes are made in a given period, active monitoring constitutes ongoing service delivery.
How We Execute Changes
Campaign optimizations, bid adjustments, audience updates, and account actions are carried out through a combination of methods: direct work within advertising platform interfaces, advertising management APIs, and AI-assisted automation tools. Some changes involve a human-in-the-loop review before going live; others are executed autonomously based on pre-approved optimization rules and performance parameters we've configured for your account.
All automated actions are subject to ongoing oversight and performance review. If an automated change produces suboptimal results, it is identified through our monitoring process and reversed or adjusted promptly. This hybrid approach lets us move faster and more consistently than manual-only management while keeping a human accountable for outcomes.
Our Non-Intervention Policy
Escape Room PPC operates under a performance-first philosophy. When campaigns are delivering strong results — meeting or exceeding agreed conversion targets, cost-per-acquisition benchmarks, and return on ad spend goals — our team may deliberately avoid making changes to those campaigns for extended periods, sometimes spanning several weeks or months.
This is intentional, not inaction.
Modifying high-performing campaigns introduces risk: algorithm learning resets, audience disruption, and conversion drops are well-documented consequences of unnecessary changes. Our team monitors these campaigns closely and intervenes only when performance data indicates a meaningful opportunity or risk.
Clients should not interpret periods of non-intervention as lack of service delivery. Active monitoring, competitive intelligence gathering, performance benchmarking, and strategic planning continue throughout all engagement periods. Full service fees apply regardless of the volume of account changes made in any given month.
Client Responsibilities
Clients agree to:
- Provide timely access to advertising accounts, analytics platforms, and booking systems
- Respond to requests for information, creative assets, and approvals within agreed timeframes
- Maintain accurate business information (hours, pricing, availability)
- Pay invoices according to the agreed payment terms
- Comply with advertising platform policies (Google Ads, Meta Ads, etc.)
Fees and Payment
Service Fees
Service fees are outlined in your Service Agreement and are billed monthly. Payment is due within 7 days of invoice date unless otherwise agreed in writing.
Ad Spend
Advertising platform costs (Google Ads, Meta Ads, Microsoft Ads) are billed directly to the client by the respective platforms. We do not mark up or charge additional fees on ad spend unless explicitly stated in the Service Agreement.
Late Payments
Late payments may result in suspension of services. A 1.5% monthly interest charge may be applied to overdue balances.
Performance and Results
While we use industry best practices and data-driven strategies to optimize campaigns, we cannot guarantee specific results (e.g., number of bookings, ROAS targets, traffic increases). Performance depends on multiple factors including market conditions, competition, seasonality, website quality, and client responsiveness.
Historical performance data and case studies represent past results and are not indicative of future performance.
Intellectual Property
Client-Owned Assets
All advertising accounts, campaign data, creative assets provided by the client, and access credentials remain the property of the client. Upon termination of services, the client retains full access to all advertising accounts and data.
Agency-Created Assets
Ad copy, campaign structures, keyword research, audience targeting strategies, and other deliverables created by Escape Room PPC become the property of the client upon full payment of invoices. We retain the right to use anonymized performance data and case studies for marketing purposes (with client approval).
Confidentiality
Both parties agree to keep confidential any proprietary information, business strategies, financial data, and trade secrets shared during the course of the engagement. This obligation survives termination of services.
Termination
Either party may terminate services with 30 days written notice. Upon termination:
- Client will pay for all services rendered up to the termination date
- We will provide access credentials and transition documentation
- Advertising campaigns will remain active in the client's account
- No refunds will be issued for services already performed
We reserve the right to terminate services immediately if the client violates platform policies, engages in fraudulent activity, or fails to pay invoices.
Limitation of Liability
To the maximum extent permitted by law, Escape Room PPC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities arising from the use of our services.
Our total liability for any claim arising from these terms or our services shall not exceed the amount paid by the client in the 3 months prior to the claim.
Indemnification
Client agrees to indemnify and hold Escape Room PPC harmless from any claims, damages, or expenses arising from: (1) client's violation of advertising platform policies, (2) false or misleading information provided by the client, (3) intellectual property infringement claims, or (4) client's business operations.
Third-Party Platforms
We work with third-party platforms including Google Ads, Meta Ads, Microsoft Ads, and analytics tools. These platforms have their own terms of service and policies. We are not responsible for changes to platform policies, algorithm updates, or account suspensions caused by platform policy violations.
Modifications to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the new terms.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Dispute Resolution
Any disputes arising from these terms or our services shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Severability
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms of Service, together with any Service Agreement or Statement of Work, constitute the entire agreement between Escape Room PPC and the client regarding the use of our services.
